To protect and preserve the beauty and health of our great pond.
ARTICLE 1. Name and Purpose
Section 1. The name of this organization shall be The Worthley Pond Association (“WPA”).
Section 2. The purpose of this Association shall be:
- To perform all acts appropriate to a non–profit group dedicated to the promotion and development of environmental quality standards of Worthley Pond.
- To preserve, protect, and enhance Worthley Pond and its environs.
ARTICLE 2. Membership
Section 1. Membership shall be open to all persons interested in the purpose of WPA.
Section 2. Persons who remit annual WPA dues are considered “WPA members” for the current fiscal year, unless otherwise indicated by the person paying their dues.
Section 3. All “WPA members” are considered “voting members” for the purpose of establishing a quorum.
ARTICLE 3. Officers and Board of Directors and Terms of Office
Section 1. The officers of WPA shall be a President, a Vice-President, a Secretary, and a Treasurer.
Section 2. These four (4) positions and five (5) Directors shall make up the Board of Directors (the “Board”).
Section 3. Terms of Office:
- The term of office for Officers shall be one (1) year and no officer can serve for more than two (2) consecutive years in the same office.
- The term of office for officers shall start on September 1st of each year.
- The term of office for the Directors shall be three (3) years each with a limit of two (2) consecutive terms.
- The term of office for the Directors shall start on September 1st of the first year they were elected.
ARTICLE 4. Nominations and Elections
Section 1. The Board will provide a list of candidates for the annual meeting.
Section 2. Elections shall be made by plurality vote and shall be conducted annually.
Section 3. In the event that there is not a candidate for an office that is being vacated, the office holder shall be allowed to serve for one (1) more year.
ARTICLE 5. Duties of Officers
Section 1. The Board shall be responsible for conducting the Affairs of the Association between Annual Meetings.
Section 2. The President shall be the Executive Officer.
ARTICLE 6. Meetings
Section 1. The Annual Meeting, which can be attended by any/all WPA Members, shall be held within (14) days of July 4th at a time and place to be selected by the President with the advice of the Board.
Section 2. Special Meetings for “WPA members” may be called by the President or by the petition of any ten (10) voting members.
Section 3. The Board shall meet monthly between June and September, inclusive, and on an “as needed” basis during the rest of the year. Meeting dates are set when the President or any five (5) Board Members agreed.
ARTICLE 7. Quorum
Section 1. Fifteen (15) voting members shall constitute a quorum for WPA decision making.
Section 2. Five (5) Board Members shall constitute a quorum for Board of Directors meetings.
ARTICLE 8. Committees
Committees may be appointed by the President and committees shall be empowered to add to their membership as the need arises, with the approval of the Board.
ARTICLE 9. Dues
The Board shall have the power to set the amount of Annual Dues.
ARTICLE 10. Amendments of Bylaws
These bylaws may be amended by majority vote of “WPA members” at any annual or special meeting, provided that written notice is sent to the members at least ten (10) days in advance of the meeting date.
ARTICLE 11. Parliamentary Authority
In all matters not covered by these bylaws, the parliamentary authority shall be the most recent of Robert Rule of Order.
ARTICLE 12. Dissolution of Association
In the event of the dissolution of WPA, its assets shall be given to another association whose purposes are similar.
